American Axle and Dowlais Group Announce Major Transatlantic Merger

American Axle and Dowlais Group Combine Forces in Major Transatlantic Deal

In a significant transatlantic automotive transaction, American Axle & Manufacturing Holdings Inc., a Detroit-based drivetrain components manufacturer, has agreed to merge with UK peer Dowlais Group Plc. Bloomberg News reports that this merger, valued at approximately £1.16 billion ($1.44 billion), offers a premium of about 25% over Dowlais' closing share price as of January 28. American Axle shareholders will hold 51% of the unified company, while Dowlais' shareholders will control the remaining 49%.

This merger marks the largest announced US-to-UK deal of the year. In light of this development, Dowlais' shares surged by up to 13% during Wednesday's trading in London, valuing the company at nearly £1 billion. American Axle, however, has seen a decline in its share value of more than 30% over the last 12 months.

The deal is poised to bring substantial cost synergies, projected at around $300 million. This comes amidst increased pressures on traditional automotive suppliers like American Axle due to the industry's ongoing shift from internal combustion to electric vehicles.

According to data from the IndexBox platform, the US driving and non-driving axle export market was valued at $3.3 billion in 2023, with key export destinations including Mexico ($1.7 billion) and Canada ($1 billion). Despite the decline in export values, imports were robust, totaling $6.1 billion in 2023, with Mexico being the largest supplier at $2.3 billion, followed by Japan with $768.7 million.
