Australian Companies Face Investor Backlash Over Executive Pay in 2024

The number of Australian companies facing significant investor opposition to their remuneration plans remained near record highs for the second consecutive year in 2024. This was highlighted in a study by shareholder advisor Georgeson, first shared with Reuters, which cites growing tensions over high executive pay amid rising living costs and ongoing corporate scandals.

In 2024, 40 of Australia's 300 largest companies saw over 25% of investors vote against their remuneration schemes during annual general meetings. This figure was just below the record 41 companies from the previous year, which was double the number in 2022. The mandatory annual shareholder vote on remuneration was introduced in Australia in 2011 under the "two strikes" rule, where a second consecutive "no" vote allows for a potential board removal vote.

Last year, 12 companies experienced a second consecutive year of shareholder votes against executive pay, a sharp increase from just two in 2023. However, no follow-up votes to remove company boards were successful. The IndexBox platform reveals that such opposition is driven by economic pressures and company-related scandals.

According to Paul Murphy, Georgeson's head of ESG for Asia Pacific, economic pressures such as cost of living increases and higher interest rates are putting executive pay under the microscope. "The vote has become an all-encompassing platform to express sentiment towards a company," Murphy stated. He highlighted how companies involved in scandals or facing customer service issues often see heightened investor protests.

Prominent companies facing shareholder strikes included Qantas, amid challenges related to industrial relations, flight cancellations, and controversies involving its former CEO. Iron ore miner Fortescue and major office landlord Dexus also faced substantial investor backlash. Despite Dexus receiving a second strike in 2024, it survived a motion to spill the board.
