Busy Christmas for UK Dealmakers with Major Takeovers on the Horizon

British dealmakers are preparing for the most hectic Christmas M&A week in recent history. As reported by Bloomberg, several substantial UK transactions are approaching crucial bid deadlines, promising a bustling holiday period for bankers.

Leading the charge is Aviva Plc, which aims to finalize a PS3.6 billion ($4.5 billion) acquisition of motor insurer Direct Line Insurance Group Plc. UK takeover regulations mandate that a firm deal be announced by 5 p.m. on Christmas Day. Meanwhile, Macquarie Asset Management is negotiating a PS701 million acquisition of waste management firm Renewi Plc, with a deadline on Boxing Day, December 26.

If completed, these deals would mark the busiest Christmas week for UK company takeovers since 2018, when $7.4 billion worth of deals were announced. This year, the volume of mergers and acquisitions targeting UK companies is up by 82%, reaching $177 billion, as observed on the IndexBox platform. This surge in activity suggests a growing interest in UK firms despite concerns over potential tax increases under Prime Minister Keir Starmer's new government.

In addition to the major deals, smaller transactions are also in play. Abu Dhabi-backed Esyasoft Holding Ltd. faces a December 23 deadline to make a firm offer for Good Energy Group Plc, valued at PS69 million. Additionally, National World Plc has just been acquired by advertising executive Malcolm Denmark for PS65 million.

According to Michael Nicholson from local advisory firm Peel Hunt Ltd., a wave of demand is approaching UK shores, driven by strategic buyers and private equity firms. Roughly a third of small and mid-cap companies listed on London's AIM market could be vulnerable to takeovers, which is expected to lead to a major increase in UK takeovers by 2025.
