Emerson Electric's Final Offer Stands Against Elliott Management Resistance

In a decisive move, Emerson Electric has declared its $265 per-share offer to acquire Aspen Technology as its "best and final" price. This announcement comes on the heels of a substantial investment by Elliott Management, which invested over $1.5 billion in Aspen, opposing the company's decision to accept Emerson's $7.2 billion tender offer. Emerson, which currently holds a 57% stake in Aspen, agreed last month to purchase the remaining shares, effectively aiming to consolidate its hold on the industrial software supplier. However, Emerson's journey to complete this acquisition may encounter roadblocks as Elliott Management seems to stand against the current offer.

According to UBS analysts, Emerson's break price hovers around $202, but the complexity surrounding the valuation makes this a challenging "bump play" scenario. Despite these factors, Emerson is moving forward with the all-cash tender offer, which is set to expire on March 10, contingent upon the minimum required number of shares being tendered.
