Korea Zinc Shares Fall after Court Injunction for MBK Partners

Seoul, South Korea — Korea Zinc Co. witnessed a significant drop in its shares upon the Seoul court's decision in favor of an injunction filed by MBK Partners Ltd., raising the prospects of the consortium gaining control over the world's largest zinc smelter. According to Mining.com, the company's shares plummeted by 8.6%, marking the lowest close since early October.

Battle for Control Intensifies

The court's decision prohibits Korea Zinc from adopting a cumulative voting system during the forthcoming extraordinary general meeting. The injunction has emboldened MBK Partners and Young Poong Corp., who together wield control of around 41% of the company, to potentially establish a stronger presence on the board. On the other side of this power struggle, Korea Zinc's CEO Yun B. Choi, buttressed by Bain Capital, commands approximately 35% of shareholder support.

Shareholder Advisory and Meeting Outcomes

Institutional Shareholder Services Inc., a global proxy advisory firm, has advised against implementing the cumulative voting system, labeling it as a tactic to safeguard existing management. The cumulative system differs from traditional voting by allowing shareholders to allocate their votes in a manner that could empower minority stakeholders significantly.

Despite the court's ruling, which temporarily prevents the immediate adoption of cumulative voting even if passed, both factions aim to reshape the board during Thursday's meeting. MBKP-Young Poong seeks to introduce 14 new directors, whereas Korea Zinc has nominated seven additional members, all in a bid to sway the governance structure.
