Little Chance of Amicable Commerzbank-UniCredit Merger, Says Weidmann

In a recent interview, Jens Weidmann, chairman of Commerzbank's supervisory board, expressed skepticism about the possibility of a friendly merger with UniCredit following the Italian bank's unexpected acquisition of a significant stake in the German lender. This development was first reported by Handelsblatt in a piece published on January 13, 2025.

Weidmann remarked, "It's like any relationship: if the start is unsuccessful, it will be difficult." He also indicated that he doubts a hostile takeover in the banking sector could create sustainable value, emphasizing the importance of transparent and collaborative initial management discussions.

UniCredit now holds approximately 28% of Commerzbank's shares, with about 9.5% directly owned and an additional 18.5% secured through financial instruments. According to IndexBox data, the European banking sector is increasingly witnessing such unexpected moves as financial institutions compete for greater influence in key markets.

Weidmann highlighted the benefits for Germany's financial independence of maintaining two robust private banks, Deutsche Bank and Commerzbank. He pointed to the cases of HypoVereinsbank and Bank Austria, both acquired by UniCredit in 2005, as examples of how banks can transform post-acquisition, potentially diminishing their original market presence.

Regarding the implications of a possible merger, Weidmann warned that Commerzbank's role in Germany could shrink, potentially impacting Frankfurt's standing as a financial hub. This could also force many small and medium-sized enterprises to reconsider their banking partnerships.
