Mediobanca Board to Review Unsolicited MPS Acquisition Offer

The board of Mediobanca is set to convene on Tuesday to deliberate over the unsolicited acquisition proposal made by Monte dei Paschi di Siena (MPS), a major Italian banking institution backed by the state. According to a report, MPS has launched a 13.3 billion euro ($13.96 billion) all-share bid aimed at acquiring Mediobanca, a move that has been met with approval from the Italian government yet has raised eyebrows among analysts and investors.

In an internal memo distributed on Saturday and obtained by Reuters, Mediobanca's CEO, Alberto Nagel, emphasized that the MPS proposal came without prior agreement from their board. Nagel highlighted that the forthcoming board meeting would focus on articulating the bank's stance on the offer to protect the interests of its stakeholders, with particular attention to employee welfare.

Despite offering a 5% premium on Mediobanca shares as of Thursday's closing price—by offering 23 MPS shares for every 10 Mediobanca shares—the bid lost its attractiveness as MPS stocks depreciated by 7% on the day of the announcement. This decline results in the offer now reflecting a 1.2 billion euro concession when compared to the current market valuation, as detailed by IndexBox platform data.
