MPS Shares Continue to Slide Amid Mediobanca Takeover Speculation

In an ongoing series of developments that have sent ripples through the Italian banking sector, shares in Monte dei Paschi (MPS) fell further on Tuesday. The decline coincides with a board meeting held by Mediobanca to evaluate a surprise takeover bid by the smaller bank, MPS, as reported by Yahoo Finance. This latest move is among several takeover offers that have unsettled Italian financial markets.

Despite the Italian government's backing for the creation of a strong third banking entity to compete with giants like Intesa Sanpaolo and UniCredit, skepticism looms large. According to IndexBox data, MPS shares witnessed a continuous downturn, decreasing by 1.6% on Tuesday, following a 2% drop on Monday and a 7% decline on Friday. The proposed exchange ratio currently values each Mediobanca share at 14.735 euros, although they traded at 16.435 euros, further illustrating investor apprehension over the proposed merger.

The Mediobanca board is slated to provide formal guidance to its shareholders once the bid's prospectus is officially released in a few months. Mediation appears wary of the bid, particularly from an institution like MPS, which was previously bailed out by the state in 2017. In a recent communication to employees, Mediobanca CEO Alberto Nagel emphasized that the offer was unsolicited and noted that the bank would explore all options to protect stakeholder interests.

Historically, MPS has managed to return to profitability and resume dividend payouts after being bolstered by over 10.5 billion euros between 2017 and 2022. This influx of cash enabled MPS to clean up its balance sheet significantly. The assistance of favorable court rulings that allowed financial flexibility by mitigating legal risks further supports their recovery path.

Recent state stake placement in MPS introduced influential shareholders such as Francesco Gaetano Caltagirone and the estate of Leonardo Del Vecchio into its fold. Both investors also hold substantial stakes in Mediobanca, complicating the dynamics of the takeover discussions. As the financial world watches closely, the unfolding of this takeover saga will hold critical implications for Italy's banking landscape.
