NetApp to Divest Cloud Software Assets to Flexera in $100 Million Deal

In a strategic move to streamline its operations, NetApp Inc. has agreed to sell a portfolio of cloud software assets to Flexera, a company backed by private equity firm Thoma Bravo. The agreement is reported to be valued at approximately $100 million and includes businesses from NetApp's acquisitions of startups Spot and CloudCheckr.

This transaction exemplifies a growing trend among companies across various industries to offload assets and better concentrate on their core operations. Global asset sales observed a significant increase, with a 26% rise in 2024, amounting to about $555 billion. This surge underscores the keen interest of private equity firms, flush with capital, to invest in corporate carve-outs and maximize returns.

NetApp's cloud software assets, including Spot and CloudCheckr, were acquired consecutively in 2020 and 2021. Spot, known for tools that assist developers in managing cloud service costs, was reportedly bought for $450 million, as per Israel's Calcalist. These assets are seen as valuable additions to Flexera's expanding portfolio.

Thoma Bravo, which purchased a majority stake in Flexera in 2020, has continued to invest alongside TA Associates and the Ontario Teachers' Pension Plan Board. This latest acquisition aligns with Flexera's strategy of enhancing its software asset management capabilities.

Despite representatives from NetApp, Thoma Bravo, and Flexera declining to comment on the transaction, this move has already impacted NetApp's market performance. The company's shares have gained 35% over the past year, closing at $116.69 in New York trading, reflecting a market value of about $24 billion.
