SBI Holdings Secures Majority Stake in German FinTech Solaris

In a strategic move to expand its footprint in the European fintech sector, Japan's SBI Holdings Inc. has agreed to acquire a controlling stake of over 70% in Solaris SE, according to Bloomberg. The acquisition comes as part of a new fundraising round for Solaris, and will see SBI invest approximately EUR100 million ($103 million) into the German fintech firm.

In addition to SBI's investment, Solaris is also set to raise additional funds from German exchange operator Borse Stuttgart and other existing investors, bringing the total capital raised to around EUR150 million, according to insiders speaking on condition of anonymity. The financing round also includes the issuance of new AT1 bonds.

A Solaris spokesperson noted, "Solaris has reached an important milestone in its financing process. A group of investors and partners have developed a coordinated financing concept that has been submitted to our shareholders for approval." The finalization of this agreement is anticipated by the end of the month.

This injection of capital is expected to provide Solaris with the financial stability it needs to reach profitability within approximately two years. Previously, SBI had led a EUR96 million funding round for Solaris in March.

Despite its sizable valuation of about $1.6 billion in 2021, Solaris has faced challenges in achieving financial stability. These challenges include a regulatory dispute with the German financial authority BaFin, losses from a past acquisition, and costs associated with acquiring a credit card portfolio from the German motorist club ADAC. The company has also significantly reduced its workforce from over 700 to about 450 employees in a cost-cutting measure.
