In a strategic move to secure a record-breaking management buyout, Seven & i Holdings Co. has enlisted Citigroup Inc. and Bank of America Corp. to provide the necessary financing, according to Bloomberg. The consortium, which includes a coalition of Japanese corporate heavyweights, is angling to take the retail giant private and fend off interest from Canadian retailer Alimentation Couche-Tard Inc.

The financing arrangement involves refinancing the debt of Seven & i's US unit, which stood at ¥2.7 trillion ($17.8 billion) as of November. Notably, 56% of this debt is tied to Seven & i's overseas convenience store operations, highlighting the international scope of the company's financial commitments.

Thai conglomerate CP All Plc, renowned for holding the Thai franchise of 7-Eleven, is reportedly weighing an equity stake of about ¥500 billion in the buyout. The ambitious proposition, initially valued at ¥9 trillion by the Ito family and Familymart-operator Itochu Corp., appears poised to restructure Seven & i's ownership landscape, while keeping its esteemed Japanese reputation intact.

As the deal shapes up, contributions are expected from various parties: Y=4 trillion in equity stakes, with Itochu and the Ito family contributing a combined Y=1.5 trillion, augmented by discussions of an Apollo Global Management Inc. commitment reaching Y=1.5 trillion. Furthermore, KKR & Co. is reportedly contemplating participation. The financing would be bolstered by prominent Japanese financial institutions: Sumitomo Mitsui Financial Group Inc., Mitsubishi UFJ Financial Group Inc., and Mizuho Financial Group Inc.
