Shein Weighs Waiver for UK IPO Rule

Fast fashion giant Shein is reportedly weighing the option of asking UK regulators to waive the listing rules, which mandate that at least 10% of its shares be sold to the public during its anticipated IPO in London. Reuters reports that this would mark an unprecedented move in the London financial market.

The Singapore-based company, renowned for its affordable fashion offerings predominantly sourced from China, confidentially filed for a London listing with the Financial Conduct Authority (FCA) in June. However, sources indicate that the FCA's approval process has been notably protracted.

Shein's valuation soared to $66 billion in a fundraising round last year, meaning a potential 10% flotation would amount to an IPO worth $6.6 billion. This would eclipse the largest European IPO of the year—a $2.9 billion deal by the fashion and perfume company Puig. According to IndexBox, Shein's revenues are projected to hit $50 billion this year, reflecting a 55% increase from 2023.

The move toward a London listing follows changes in the UK's listing rules in 2021, aimed at making the venue more appealing to companies by lowering the float requirement from 25% to 10%. Moreover, this comes at a time when the country has launched a comprehensive reform of its company listing rules to better compete with markets like New York and the European Union.

Initially, Shein contemplated a New York listing but was compelled to reconsider following opposition from U.S. lawmakers. Now, the company awaits approvals not only from the UK's FCA but also from China's securities regulator—a pivotal step toward their debut on the London Stock Exchange.
