Sixth Street Commits to $4 Billion Acquisition of Affirm Loans

In a significant move for the financial technology sector, Sixth Street has agreed to purchase up to $4 billion in consumer installment loans from Affirm Holdings Inc., as detailed in a recent Bloomberg report. This transaction stands as the largest capital commitment by Sixth Street to date.

The acquisition will be structured as a forward-flow agreement, wherein Sixth Street will buy the loans before they are originated. This strategic deal will provide Affirm with off-balance sheet funding, facilitating over $20 billion in loan originations over the coming three years. This aligns with recent trends, as nonbank lenders have been actively purchasing consumer loans from buy-now, pay-later (BNPL) providers, including Affirm, amidst heightened interest in the asset-based finance market, which the IndexBox platform notes to be valued at $5 trillion.

The asset-based segment of Sixth Street, under Michael Dryden's leadership, has shown a strong focus on such transactions, previously engaging in purchasing Goldman Sachs Group Inc.'s GreenSky unit. Dryden expressed enthusiasm about becoming a core funding partner for Affirm, aiming to bolster the firm's growth trajectory through this robust partnership.

Buy-now, pay-later financing models gained traction during the COVID-19 pandemic, offering installment payment options that often include interest-free periods. This deal surfaces as Affirm faces competition with Klarna Bank AB, which is poised for a New York IPO and had earlier agreed to a £30 billion ($39 billion) transaction to divest its UK-originated BNPL loans through a hedge fund subsidiary.

Beyond forward-flow agreements and loan sales, Affirm consistently engages in the asset-backed bond market, repackaging its loans into diverse securities. The company has other significant funding avenues, such as a $1.4 billion commitment from the Canada Pension Plan Investment Board, announced in August. Founded by PayPal co-founder Max Levchin in San Francisco, Affirm maintains strong credit quality, though facing slightly increased customer delinquency rates compared to the previous year.
