Skeena Resources (TSX: SKE) (NYSE: SKE) has announced the acquisition of a 13% stake in TDG Gold (TSXV: TDG) through a strategic investment, designed to boost exploration activities in northern British Columbia. According to the mining sector report, Skeena's investment includes participating in a private placement and selling its Sofia property to TDG.
The private placement orchestrated by TDG will see Skeena acquire 14 million flow-through shares at C$0.825 per share, amounting to an investment of C$11.55 million or approximately $8 million. This placement, alongside 6 million non-flow-through shares priced at C$0.50 issued to other investors, culminates in total proceeds of C$14.55 million ($10.1 million). As of midday Monday, TDG Gold shares witnessed a 1% increase, trading at C$0.46, and maintaining a market capitalization of C$66.2 million ($46 million).
In addition to the investment, Skeena is selling its 90-sq.-km Sofia property to TDG in exchange for 8 million shares valued at $0.50 each. The Sofia project, acquired in 2021, is strategically located adjacent to TDG's concessions in the Toodoggone district, a region with substantial historical gold-silver production evidenced by notable past operations at the Shasta and Baker mines. TDG controls mineral claims spanning approximately 320 sq. kilometers in this prolific production corridor.
The infusion of capital from Skeena is set to accelerate TDG's exploration initiatives, particularly the launch of its Greater Shasta-Newberry project situated near the historic Shasta mine and a short distance from the former Baker mine. The project boasts five drill-ready targets, with the potential to identify significant gold-silver deposits estimated by TDG at 515,800 oz. of gold-equivalent indicated resources and 505,500 oz. inferred.
Skeena's move to support TDG coincides with the neighboring high-grade AuRORA porphyry discovery by Freeport McMoRan and Amarc Resources, underscoring the region's escalating exploratory promise. TDG CEO Fletcher Morgan emphasized the transformative impact of the AuRORA discovery, indicating a focused program to explore possible extensions into TDG's territory.
Walter Coles, Skeena's executive chairman, echoed this optimism, highlighting Skeena's strategic involvement in one of British Columbia's most promising exploration areas. “By providing early-stage funding to TDG, we aim to support TDG's exploration efforts to validate the Greater Shasta project. The exciting high-grade Freeport-Amarc AuRORA discovery is less than 200 meters from the border of TDG's claims," Coles stated.
Upon completion of the investment and property transaction, Skeena will hold approximately 22 million shares of TDG, solidifying its 13% stake in the company and positioning it as a significant player in the ongoing Toodoggone district exploration developments.
