Spanish Travel Tech Firm HBX Group Eyes EUR750 Million IPO

Spanish travel technology company HBX Group International Plc, alongside its backers, is set to raise up to EUR750 million ($782 million) through an initial public offering (IPO), with plans to allocate over EUR200 million for bonus payments. HBX Group intends to offer 69 million shares at a price range between EUR10.50 to EUR12.50, potentially raising EUR725 million in new equity. An additional 2 million shares are being offered by its main backers, Canada Pension Plan Investment Board, Cinven, and EQT. Through an overallotment option, shareholders might generate an extra EUR112 million. If successful, the IPO could value the company at over EUR3 billion.

Amid a fluctuating European IPO market, where totals reached over $20 billion last year, HBX's listing is anticipated to be an early indicator of market sentiment. Interestingly, the Spanish market has struggled with momentum, marked by the halted listing plans of firms such as Europastry SA and Puig Brands SA.

The company plans to deploy the IPO proceeds to mitigate debt and channel approximately EUR208 million into incentive schemes and bonuses. HBX also disclosed its strategy to refinance around EUR1.7 billion of existing debt via new term loans and a revolving credit facility.

HBX operates in approximately 170 countries and employs over 3,600 people. Known primarily for its wholesale platform, Hotelbeds, HBX connects hotels with travel agencies and airlines, operating under brands like Bedsonline and Roiback. Financially, the company forecasts a revenue increase to EUR750 million-EUR790 million for the fiscal year 2025, up from EUR693 million expected in 2024. Total transaction value could grow by 16%, adding to its EUR7.7 billion projection for 2024.

Leading the offering are Bank of America Corp., Citigroup Inc., and Morgan Stanley, with Evercore Inc. serving as the financial adviser.
