Spirit Airlines Declines Merger Proposal from Frontier

Spirit Airlines has rejected a merger proposal from Frontier, a rival low-cost carrier, citing inadequacies in Frontier's offer. According to a recent report, Spirit emphasized that moving forward with the deal would delay their emergence from bankruptcy, which is currently scheduled for this quarter.

Despite acknowledging the potential of creating a "potent competitor in the marketplace," Spirit dismissed Frontier's proposal due to issues like reduced debt consideration and additional financial demands from bondholders. Spirit's management, including Chairman Mac Gardner and CEO Ted Christie, communicated these concerns in a letter to Frontier's leadership, stating that Frontier's terms were "woefully insufficient financially."

Previously, Frontier had envisioned a merger that would create a strong low-cost challenger against major airlines like American, Delta, Southwest, and United. However, Spirit highlighted that the current offer fell short of previous negotiations, which included more favorable terms for debt consideration and ownership stakes.
