Thai Telcos AIS and Thaicom Advise Rejection of Merger Offers

The boards of Thailand's leading mobile carriers, Advanced Info Service and Thaicom, have urged their shareholders to dismiss acquisition proposals from their controlling entities. According to Reuters, Gulf Energy Development and Intouch Holdings intend to merge, valuing the new entity at 1.037 trillion baht, equivalent to $30 billion. This merger has already gained approval from Thai billionaire Sarath Ratanavadi's power company shareholders.

The deal would involve Gulf Energy, Intouch, and Sarath attempting to acquire 58.9% of Thaicom at 11 baht per share. However, Thaicom's board highlighted the recent surge in the company's stock price as a primary reason for advising shareholders against the offer. Its shares remained steady at 12.3 baht on Thursday, suggesting stronger market confidence than the proposed purchase price.

Meanwhile, a similar acquisition effort was made for Advanced Info Service, originally valuing its shares at 216.30 baht each, later revised to 211.43 baht. Nevertheless, the company's financial adviser found this offer below the estimated valuation range of 229.55 baht to 285.70 baht. Notably, Advanced's share price marginally increased by 1.1%, closing at 290 baht per share on Thursday, further affirming market optimism beyond the revised bid.

As of now, Gulf Energy and Intouch Holdings have not responded to requests for comment on these developments.
