UniCredit Submits Buyout Offer for Banco BPM to Italian Regulator

UniCredit has officially submitted its buyout offer for Banco BPM to Italy's market regulator, marking a significant move in the banking sector's consolidation efforts. The news, first reported by Yahoo Finance, highlights UniCredit's commitment to an all-share deal valued at 10 billion euros ($10.5 billion). The proposal had been initially announced by UniCredit on November 25th and is now binding with a set price floor.

Banco BPM's share price ended at 7.846 euros, surpassing the offer price of 6.657 euros per share that UniCredit is proposing. This discrepancy suggests investor anticipation of a potential sweetening of the deal. "We consider our initial offer to Banco BPM shareholders to be fair and appropriate," said UniCredit CEO Andrea Orcel, emphasizing that any transaction must enhance shareholder value and outperform potential returns from a UniCredit share buyback.

UniCredit, which is offering 175 newly issued shares for every 1,000 BPM shares, sees this as a strategic fit potentially yielding a 15% premium compared to BPM's stock price before its bid for Anima Holding on November 6. Orcel, an experienced M&A professional, has indicated openness to cash additions to the offer if necessary to align with the company's financial goals.

Credit Agricole, the largest shareholder of BPM, has been approached by UniCredit for discussions that might revolve around commercial partnerships. In strengthening its bargaining stance, Credit Agricole has sought approval from the European Central Bank (ECB) to heighten its stake in BPM to nearly 20%, employing derivatives to elevate its holdings to 15% from just under 10%.

As UniCredit consistently engages with stakeholders, the outcome of this buyout offer could reshape the landscape of Italian banking amidst a backdrop of strategic consolidation.
