U.S. Government Blocks Major Travel Industry Merger

The United States Department of Justice has taken legal action to prevent a proposed merger between American Express Global Business Travel Group (GBTG) and CWT Holdings, citing antitrust concerns, according to a report by Reuters. The $570 million deal would merge two of the largest companies in the corporate travel management sector, potentially harming market competition.

Prosecutors argue that the merger would significantly reduce competitive dynamics, leading to higher costs and reduced options for American businesses relying on these services. Speaking on behalf of the DOJ's Antitrust Division, Doha Mekki emphasized the risk of "higher prices, less innovation and fewer choices" should the merger go through.

In recent years, GBTG has made several acquisitions and reportedly managed $28 billion in travel transactions in 2023. This expansion strategy is viewed by the DOJ as a possible attempt to eliminate competition, as noted in the complaint. Despite their involvement, American Express maintains only a minority stake in GBTG, which continues to operate independently.

While British antitrust regulators had also expressed concerns over the merger earlier when it was first announced in March, representatives from GBTG have yet to issue a public comment on the ongoing lawsuit, and CWT has opted not to comment as of now.
